Terms of Use
Last updated: November 2, 2026
Welcome, and thank you for your interest in Velio Projects, Inc. (dba Sugar) (“Sugar,” “we,” or “us”) and our messaging app, including Kid, our built-in assistant; the Sugar App Clip; our website at [sugar domain]; and any related websites, applications and services we provide (collectively, the “Service”). These Terms of Service are a legally binding contract between you and Sugar regarding your use of the Service.
Please read the following terms carefully:
By creating an account, opening an invite link, sending or replying to a message, or otherwise accessing or using the Service, you agree that you have read and understood, and, as a condition of your use of the Service, you agree to be bound by, the following terms and conditions, including Sugar’s Privacy Policy (together, these “Terms”). If you are not eligible, or do not agree to these Terms, then you do not have our permission to use the Service.
Your use of the Service, and Sugar’s provision of the Service to you, constitutes an agreement by Sugar and by you to be bound by these Terms. Section 16 contains an arbitration agreement and class action waiver that affect how disputes between you and Sugar are resolved.
1. Sugar Service Overview
Sugar is a messaging app for talking with friends and making plans together. You can chat one to one or in groups, send rich messages such as polls, checklists, activities and locations, use shared apps inside a chat, and ask Kid for help. Kid can answer questions about a chat, suggest plans, draft replies for you to send, and, when you connect a tool, act through that tool on your behalf with your approval.
Kid’s panel in each chat is private to you. Other people in the chat cannot see what you ask Kid or the private notes Kid gives you, unless you choose to share something into the chat.
2. Eligibility
You must be at least 13 years old to use the Service, or older if the law where you live requires it. If you are under the age of majority where you live, you may use the Service only with the permission of a parent or legal guardian who agrees to these Terms for you. By agreeing to these Terms, you represent and warrant that (a) you meet these requirements, (b) you have not previously been suspended or removed from the Service, and (c) your use of the Service complies with all applicable laws and regulations.
3. Accounts and Registration
3.1 Your Account
To use most features of the Service, you register with your mobile phone number, which we verify by text message. You agree that the information you give us is accurate and that you will keep it up to date. You are responsible for all activity on your account and for keeping your device and verification codes secure. Tell us right away at [support email] if you believe someone has accessed your account without permission.
3.2 Invite Links and the App Clip
If someone invites you to Sugar, the invite link may open the Sugar App Clip with only that conversation. Before you can reply, we confirm your phone number, so that if you later install Sugar your conversation and history carry over. Using the App Clip is using the Service, and these Terms apply to it.
3.3 Messages to People Not Yet on Sugar
If you message a contact who is not yet on Sugar, we store that message and deliver it if they open an invite link or join Sugar. You should only invite people you know and who would expect to hear from you. You are responsible for any invite you send, including any message you send through a third-party service such as WhatsApp.
4. Kid and Other AI Features
4.1 How Kid Works
Kid uses artificial intelligence, including models provided by third parties, to generate responses, suggestions, drafts and plans (“Output”) based on what you ask it (“Input”) and on the chat you ask it in. Kid only acts on your behalf with your approval: it drafts replies into your message box for you to send, and it asks you before it carries out a plan or uses a connected tool.
4.2 Output May Be Wrong
Output is generated automatically and may be inaccurate, incomplete, out of date or inappropriate, even when it sounds confident. Check Output before you rely on it, send it or act on it, especially for anything involving money, health, safety, travel or legal matters. Output is not professional advice. You are responsible for what you send and for the actions you approve.
4.3 Rights in Input and Output
As between you and Sugar, you own your Input and, to the extent permitted by law, the Output generated for you. Output may be similar to output generated for others, and you have no rights in other people’s Output.
5. Shared Apps, Payments and Connected Tools
5.1 Shared Apps
Apps placed in a chat, such as checklists, polls, bill splits and plans, are shared with everyone in that chat. Any member of the chat can view, edit, archive or remove them, including apps someone else created.
5.2 Splitting Bills and Payments
Sugar can help a group work out who owes what, for example from a photo of a receipt. Unless we clearly say otherwise, Sugar does not hold, send or receive money. Any payment you make goes through a third-party provider under that provider’s terms, and you are responsible for checking amounts before you pay.
5.3 Connected Tools
You can connect third-party services, such as a calendar or a booking service, to the vault so Kid can use them for you (“Connected Tools”). When you connect a tool, you authorize Sugar to access it and act in it within the permissions you grant, and only with your approval for each action. You can disconnect a tool at any time. Your use of a Connected Tool is also governed by that provider’s terms, and Sugar is not responsible for third-party services, their availability or what they do with your information.
6. Your Content
6.1 Ownership
You own the messages, photos, files, locations and other content you create or share through the Service (“Your Content”). Sugar does not claim ownership of Your Content.
6.2 License to Sugar
You grant Sugar a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, display and reproduce Your Content only as needed to operate, provide, secure and improve the Service for you and the people you communicate with: for example, to deliver your messages, sync shared apps across a chat, and let Kid respond to you. This license ends when Your Content is deleted from the Service, except for copies kept in backups for a limited time or as required by law.
6.3 Your Responsibilities
You are responsible for Your Content. You represent that you have all rights needed to share it and that it does not violate these Terms, the law, or anyone else’s rights, including their privacy. Remember that people you message can save, forward or screenshot what you send them.
6.4 Feedback
If you send us ideas or suggestions about the Service (“Feedback”), we may use them without any obligation to you.
7. Prohibited Conduct
By using the Service, you agree not to:
(a) use the Service for any illegal purpose or in violation of any local, state, national or international law;
(b) harass, threaten, bully, stalk or intimidate anyone, or send content that is hateful, sexually exploitative, or depicts or promotes violence or self-harm;
(c) send spam, bulk or automated messages, or invite people you do not know or who have asked you to stop;
(d) impersonate anyone, or misrepresent your identity or your relationship with anyone;
(e) use the Service for sexual services, escort services, or any arrangement that exchanges money or gifts for companionship or sexual activity;
(f) share anyone’s private information, or intimate images of anyone, without their consent;
(g) try to make Kid produce harmful or illegal content, or to get around its safeguards;
(h) interfere with, disrupt or overload the Service, or access it by automated means such as bots or scrapers;
(i) reverse engineer, decompile or try to discover the source code or underlying models of the Service, except where the law allows it; or
(j) help or encourage anyone else to do any of the above.
8. Reporting and Blocking
You can block any person and report any message, person or group in the app. We review reports and may remove content or restrict accounts that we believe break these Terms. We are not obligated to monitor the Service, but we may do so to keep it safe and to comply with the law.
9. Intellectual Property
The Service, including its software, design, text, graphics, icons and the Sugar name and logo, is owned by Sugar and its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial use. All rights not expressly granted to you are reserved.
10. Copyright Complaints
If you believe content on the Service infringes your copyright, send a notice to our designated agent at [copyright email] with: your contact details; a description of the work; where the content appears on the Service; a statement that you believe in good faith the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We may remove content and terminate the accounts of repeat infringers.
11. Third-Party Services
The Service may link to or work with services we do not control, such as WhatsApp, Apple’s App Store, maps, payment providers and Connected Tools. We are not responsible for them, and your use of them is at your own risk and under their terms.
12. Fees
The Service is currently free. If we introduce paid features, we will tell you the price and terms before you are charged, and you can choose whether to buy them. Purchases made through an app store are also subject to that store’s terms. Your mobile carrier’s message and data rates may apply.
13. Term, Termination and Modification of the Service
13.1 Term
These Terms apply from the moment you first use the Service until your account is deleted or these Terms are terminated as described below.
13.2 Termination
You can stop using the Service and delete your account at any time in the app. We may suspend or terminate your account or access to the Service at any time if you break these Terms, if we must for legal reasons, or if we stop offering the Service. Where reasonable, we will tell you first.
13.3 Effect of Termination
When your account ends, your right to use the Service ends. Messages you already sent may remain visible to the people you sent them to. Sections 4.3, 6, 9 and 14 through 17 survive termination.
13.4 Changes to the Service
The Service is new and will change. We may add, change or remove features at any time, including features that are experimental or in beta.
14. Disclaimers
The Service, including Kid and all Output, is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error-free, that messages will always be delivered, or that Output will be accurate. Some jurisdictions do not allow these exclusions, so some of them may not apply to you.
15. Limitation of Liability
To the fullest extent permitted by law, Sugar will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits or goodwill, arising out of or relating to the Service or these Terms, even if we were told such damages were possible. Our total liability for any claim arising out of or relating to the Service or these Terms is limited to the greater of the amount you paid us in the 12 months before the claim or $100.
16. Dispute Resolution and Arbitration
16.1 Informal Resolution
Before filing a claim, you and Sugar agree to try to resolve the dispute informally by contacting the other party. You can reach us at [legal email]. If the dispute is not resolved within 60 days, either party may begin arbitration.
16.2 Agreement to Arbitrate
Except for small claims and claims about intellectual property, you and Sugar agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by [arbitration provider] under its rules, rather than in court.
16.3 Class Action Waiver
You and Sugar agree that each may bring claims against the other only individually, and not as a plaintiff or class member in any class or representative proceeding.
16.4 Opting Out
You can opt out of this arbitration agreement by emailing [legal email] within 30 days of first accepting these Terms, with your name, phone number and a clear statement that you want to opt out.
17. Miscellaneous
17.1 Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will tell you in the app or by another reasonable method before they take effect. If you keep using the Service after the changes take effect, you accept the updated Terms.
17.2 Governing Law
These Terms are governed by the laws of [State], without regard to its conflict of laws rules, except where the law of the place you live requires otherwise.
17.3 Entire Agreement
These Terms, together with the Privacy Policy, are the entire agreement between you and Sugar about the Service.
17.4 Severability and Waiver
If any part of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of our right to do so later.
17.5 Assignment
You may not transfer your rights under these Terms without our written consent. We may transfer ours, for example as part of a merger or acquisition.
17.6 Contact Information
The Service is offered by Velio Projects, Inc., located at [street address, city, state, ZIP]. You may contact us by sending correspondence to that address or by emailing us at [support email].
17.7 Notice to California Residents
If you are a California resident, then under California Civil Code Section 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 N. Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at +1-800-952-5210 in order to resolve a complaint regarding the Service or to receive further information regarding use of the Service.
17.8 Apple App Store
If you got Sugar or the App Clip from Apple, these Terms are between you and Sugar, not Apple. Apple is not responsible for the Service or its support, and has no warranty obligations for it. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
17.9 International Use
The Service is intended for people located in [launch countries]. We make no representation that the Service is appropriate or available for use elsewhere. Access to the Service from countries or territories where it is illegal is prohibited.
